Introduction

GDPR is an opportunity to build a stronger data protection foundation for the benefit of all. Mace Digital takes its obligations around data processing and security very seriously. We have a data protection core team comprised of senior members of the Legal, Data, and Marketing teams, dedicated to ensuring that Mace Digital is GDPR-compliant. For every new product development and enhancement to our service, we’re proactively applying the Data Protection by design principles.

This is the privacy policy for the Mace Digital Platform (as defined in our Terms and Conditions) that we make available from time to time. The Mace Digital Platform is owned and operated by Mace Digital Limited (we, us, and our). For the purposes of EU data protection laws, we are the data controller.

We have appointed a Data Protection Officer (DPO) who is responsible for overseeing questions in relation to this privacy policy. If you have any questions about this privacy policy, including any requests to exercise your legal rights, such as requests to delete your data, please contact the DPO at legal@mace.digital.

You have the right to make a complaint at any time to the Information Commissioner’s Office (ICO), the UK supervisory authority for data protection issues (www.ico.org.uk). We would, however, appreciate the chance to deal with your concerns before you approach the ICO so please contact us in the first instance.

We are committed to protecting your privacy online. We appreciate that you do not want the information you provide to us to be distributed indiscriminately and here we explain how we collect information, what we do with it, and what controls you have over it.

By using the Mace Digital Platform, you consent to the collection and use of your personal information in accordance with this privacy policy. If you do not agree with the use of your personal information as set out in this privacy policy, or the Terms and Conditions, please do not use the Mace Digital Platform.

We reserve the right to change this privacy policy from time to time. If we make material changes to this privacy policy, we will notify you by means of a prominent notice prior to the change becoming effective.

Information we may collect from you

We may collect and process the following information about you:

  • information (such as your name, email address, gender, date of birth, photographs, postal address, and telephone number) that you provide us, including if you register as a user of the Mace Digital Platform, book an appointment for any service, upload or submit any material via the Mace Digital Platform, contact any service provider via the Mace Digital Platform or enter into any competition or promotion we may sponsor;
  • in connection with an account sign-in facility, your log-in and password details;
  • If you decide to register through or otherwise grant access to us via a third-party social networking site such as Facebook Connect or Google, we may also collect personal information that is already associated with such site;
  • the content of any communications you send to us, for example, to report a problem or to submit queries, concerns or comments regarding the Mace Digital Platform or its content;
  • any search terms you looked up and results that you selected;
  • friend or contact lists that you may provide to us by connecting your Mace Digital account with your computer, mobile device, or third-party social network accounts;
  • information from surveys that we may, from time to time, run on the Mace Digital Platform, if you choose to participate in them;
  • geographical location so that we can provide you with information about the services provided by businesses near your location; and
  • other information from your use of the Mace Digital Platform including the type of internet browser or mobile device you use, any website from which you have come to the Site and your IP address (the unique address that identifies your computer or mobile device on the Internet) and your operating system, which are automatically recognized by our web server.

 

We do not collect any Special Categories of Personal Data about you, such as details about your race or ethnicity, religious or philosophical beliefs, sex life, sexual orientation, political opinions, trade union membership, information about your health and genetic and biometric data.

We may record and monitor telephone calls for training and quality control purposes as well as to verify the details of any contract we may agree with you over the phone.

Your name, as well as any photo you submit for your profile, any services or any businesses that you book appointments with and any recommendations you make, can be publicly displayed as part of your profile. Appointments booked will also be publicly displayed on the applicable service provider’s profile. You can make changes to some of your account information through Settings.

You are under no obligation to provide any such information. However, if you should choose to withhold requested information, we may not be able to provide you with certain services.

Uses made of your information

We have set out below, in a table format, a description of all the ways we plan to use your data, and which of the legal bases we rely on to do so. We have also identified what our legitimate interests are where appropriate.

Note that we may process your personal data for more than one lawful ground depending on the specific purpose for which we are using your data. Legitimate Interest means the interest of our business in conducting and managing our business to enable us to give you the best service/product and the best and most secure experience. We make sure we consider and balance any potential impact on you (both positive and negative) and your rights before we process your personal data for our legitimate interests. We do not use your personal data for activities where our interests are overridden by the impact on you (unless we have your consent or are otherwise required or permitted to by law). Performance of Contract means processing your data where it is necessary for the performance of a contract to which you are a party or to take steps at your request before entering into such a contract.

Comply with a legal or regulatory obligation means processing your personal data where it is necessary for compliance with a legal or regulatory obligation that we are subject to.

Generally, we do not rely on consent as a legal basis for processing your personal data other than in relation to sending third party direct marketing communications to you via email or text message.

Subject to receiving your consent, we may also use your personal information to notify you of new products or services and special offers we think you may be interested in and share your personal information with carefully selected third parties so they can send you information directly which you may find useful regarding their products and services although, such third parties may have their own privacy policies and we are not responsible for how those third parties use your personal information. However, you will only receive these communications where you consented to receive such communications either at the point of registration or at any point after. You can unsubscribe from such communications at any time, by changing your communication preferences in Settings, via the unsubscribe link that you will find at the bottom of every marketing email we send, or by contacting us by email at legal@mace.digital. However, if you do unsubscribe you may not be able to benefit from the full service and functionality of Mace Digital and potential promotions.

Mace Digital’s use and transfer to any other app of information received from Google APIs will adhere to Google API Services User Data Policy, including the Limited Use requirements.

Refer a Friend Schemes

From time to time, Mace Digital may run referral programmes, such as a “Refer a Friend” initiative, that invite you to provide us with the contact details of someone who is known to you who may find our products or services interesting. We will use those contact details only for the purpose of the relevant initiative (and not for general marketing purposes). By providing us with their details, you confirm that you have their permission to do so and must not provide us with the details of anyone from whom you do not have such permission. We reserve the right to identify you as the person who has made the referral in the message that is sent to them. We will not use your friend’s information for any other purpose unless they consent to us doing so.

Information Sharing

Mace Digital may disclose aggregate statistics about visitors, customers, and sales for lawful purposes. Your personal information may be shared with our affiliates, service providers, or agents assisting in providing services through the Mace Digital Platform. In the event of reorganisation or a third-party sale, your information may be transferred. We may also disclose your information if required to do so by law or if we believe that such action is necessary to prevent fraud or cybercrime or to protect the Mace Digital Platform or the rights, property, or personal safety of any person.

Cookies

We use cookies to enhance user experience on the Mace Digital Platform, remembering past visits, customising promotional elements, and collecting statistical data for improvements. Cookies may be set by us or third parties delivering services on our behalf. Most browsers accept cookies, but you can adjust settings to prevent this. Blocking cookies, however, may limit your Mace Digital Platform experience.

Public Forums

The information you contribute through the Mace Digital Platform is public, including your reviews, photos, comments, which Service Providers you add as favourites, and your friend lists. Any information that is disclosed in these areas becomes public information, and you should exercise caution when using these and consider carefully before disclosing your personal information.

Security and Storage

Mace Digital places great importance on the security of our users’ personal information. We have security measures in place to help us protect against the loss, misuse, and alteration of personal information under our control. For example, our security and privacy policies are periodically reviewed and enhanced as necessary, and only authorised personnel have access to personal information. While we cannot ensure or guarantee that loss, misuse, or alteration of information will never occur, we use all reasonable efforts to prevent it.

We have put in place procedures to deal with any suspected personal data breach and will notify you and any applicable regulator of a breach where we are legally required to do so.

You should bear in mind that the submission of information over the Internet is never entirely secure. We cannot guarantee the security of information you submit via the Mace Digital Platform while it is in transit over the Internet, and any such submission is at your own risk.

It is advisable to close your browser when you have finished your user session to help ensure others do not access your personal information if you use a shared computer or a computer in a public place.

We will only retain your personal data for as long as necessary to fulfil the purposes we collected it for, including for the purposes of satisfying any legal, accounting, or reporting requirements.

To determine the appropriate retention period for personal data, we consider the amount, nature, and sensitivity of the personal data, the potential risk of harm from unauthorised use or disclosure of your personal data, the purposes for which we process your personal data, and whether we can achieve those purposes through other means, and the applicable legal requirements.

Your Rights

You have a right under EU data protection laws to access your personal information. On request, we will provide you with a copy of this information. You will not have to pay a fee to access your personal data (or to exercise any of the other rights). However, we may charge a reasonable fee if your request is clearly unfounded, repetitive, or excessive. Alternatively, we may refuse to comply with your request in these circumstances. You also have a right to correct any errors or inaccuracies in that personal information and a right to object to the processing of your personal information.

Mace Digital Limited, Terms & Conditions

Introduction

These terms of use (“Agreement”) are between Mace Digital Ltd, a company registered in England with company number [Insert Company Number] and registered address 1A Highfield Rd, Dartford DA1 2JH, UK (“Mace Digital”, “we” or “our”) and you, and they govern your use of the Mace Digital Platform and access to the Services.

In this Agreement, the defined terms listed below shall have the following meanings:

  • Additional Subscription Period(s) – The time period(s) for which you continue to subscribe for Services after your Minimum Term has expired, which shall have the same duration as your Minimum Term.
  • Affiliates – Any entity that directly or indirectly controls, is controlled by, or is under common control with another entity.
  • Company Website – A website that promotes your services and may be licensed to you by Mace Digital as part of the Paid For Services.
  • Data Protection Laws – All applicable EU laws and regulations governing the use or processing of personal data, including European Union Regulation 2016/679 and any national laws implementing or supplementing the foregoing.
  • Domain Name – Any domain name that may be offered to you as part of the Services.
  • Intellectual Property Rights – Patents, rights to inventions, copyright and related rights, moral rights, trademarks, business names and domain names, rights in get-up, goodwill, and the right to sue for passing off, rights in designs, rights in computer software, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets) and all other intellectual property rights, whether registered or unregistered.
  • Leads – Any third-party who contacts you as a result of the Services by any channel, which may include, without limitation, telephone calls, SMS, emails, and booking requests on the Company Website, irrespective of whether such enquiries result in purchases.
  • Minimum Term – The minimum length of time that you have agreed to purchase the Services as set out in the Order Summary.
  • Subscription Period(s) – After your Minimum Term has finished, unless otherwise notified to you in your Order Form, your Services will be provided on a monthly basis from the day after the Minimum Term finishes.
  • Order Summary – The Order Summary that was emailed to you explaining the package you have subscribed for, the price, the Start Date, and the Minimum Term.
  • Other Digital Accounts – Any third-party accounts that may be managed by Mace Digital as part of any Services, including (but not limited to) Google My Business, Facebook for Business, Bing, Google AdWords, Facebook advertising, and Bing Ads.
  • Services – Includes any services provided to you by Mace Digital as set out in your Order Summary, which may include, without limitation, the building and hosting of your Company Website, provision of content on the Company Website, the Domain Name, and any content created by Mace Digital for Other Digital Accounts, or any subscription services that Mace Digital provides to you.
  • Referral Credit – Any credit that may be applied to your account for recommending third-parties who use the Services.
  • Service Provider – A third-party business that is promoting its products or services or provides bundled services such as tax consultation on or as part of the Mace Digital Platform and Services.
  • Setup Fee – The one-time fee paid by new customers for Mace Digital to build a website.
  • Start Date – The date at which your Services start, as specified on the Order Summary.
  • Mace Digital Platform – The technology platform owned by Mace Digital and its licensors that provides all Mace Digital-managed websites and applications, including, if applicable, your Company Website, and enables the management of such websites.
  • User Data – Personal data (as defined in the Data Protection Act 1998) that is collected on the Mace Digital Platform from end users.

1. Services

1.1 Mace Digital agrees to provide you with access to any Services, as set out in the Order Summary, subject to the terms of this Agreement.

1.2 You agree to pay for the Services from the Start Date for the Minimum Term at the rate set out in the Order Summary. In the case of an annual plan, you agree to pay for the Services from the Start Date for the Minimum Term of one year. To ensure the uninterrupted supply of third-party services such as your domain name, we will charge you for the renewal of the next year’s annual plan at the end of month 11 of your current plan. Your plan will still run for 12 months. The Services provided are customized to meet your requirements, and Mace Digital will not provide any refunds unless the Services are not provided in accordance with this Agreement.

1.3 At the end of the Minimum Term, any Services that you pay for will automatically renew for Additional Subscription Periods until you provide notice to terminate in accordance with clause 1.4.

1.4 You can cancel or downgrade any Services at the end of the Minimum Term or any then-current Additional Subscription Period before such period is due to expire. You are not entitled to cancel or downgrade any Services before the end of the Minimum Term or any then-current Additional Subscription Period due to a change in your circumstances.

1.5 You may add additional Services or upgrade at any time through your Mace Digital Business Hub. To log in, please click here. Please contact admin@macedigital.co.uk for more information. If you would like to transfer an existing domain name to Mace Digital, this can be managed as an additional service, subject to payment of a fee.

1.6 We may adjust the price of the Services at any time after the expiry of your Minimum Term with one month’s written notice.

1.7 If you qualify for a Referral Credit, you will be notified of the details of your credit by email, and this will be applied to your next Subscription Period. If you cancel the Services before the Referral Credit has been applied, then the Referral Credit shall automatically expire.

1.8 All payments are processed by third-party payment processors, including PayPal, Stripe, and their global affiliates. We do not hold any credit or debit card details. You agree to provide our third-party payment processors with valid credit or debit card details and authorize them to store your information in accordance with their privacy policies and bill you according to the payment terms set out in your Order Summary and thereafter at the start of each Subscription Period or for other Services that you may purchase from Mace Digital.

1.9 If you fail to pay any charges when they fall due or request to cancel your account before the expiry of your Minimum Term, then the total amount payable for the full duration of the Minimum Term will become immediately payable, and we may suspend the provision of any Services until such monies are received. Interest will be charged on overdue payments at an annual rate equal to 8% over the Bank of England’s prevailing base rate.

1.10 All prices quoted are exclusive of any sales taxes.

1.11 Mace Digital may alter the Services from time to time. If such changes materially reduce their functionality, Mace Digital will notify you by email, and you may provide notice within 30 days of the notification to cancel the Services with immediate effect, even if you are still within the Minimum Term.

1.12 The Start Date for the Services is the date you placed your order, and you will be liable to pay for any Services as set out in your Order Form from the Start Date, whether or not you have provided Mace Digital with all the required information to set up the Services.

1.13 Invoices will be stored electronically on www.macedigital.co.uk. You can view and download these at any time from your Business Hub, or we can email you invoices on request.

1.14 If you have signed up for a promotional offer (as stated on your Order Summary), then this shall be subject to any payment terms and restrictions as stated on your Order Summary. Mace Digital reserves the right to limit promotional offers to any businesses or categories of business at its discretion and to withdraw any promotional offers without notice.

1.15 Mace Digital cannot guarantee that the Domain Name that you would like to purchase will be available through Mace Digital. If you have secured a Domain Name from Mace Digital, you must ensure that you pay any renewal fees to Mace Digital promptly to avoid losing the Domain Name.

1.16 Mace Digital offers a 30-day Money Back Guarantee for new customers. The 30-day period commences on the date you pay the Setup Fee, regardless of when you submit your information to enable us to build your website. Additional details on the Refund Policy can be found in section 11.

2. License

2.1 You grant Mace Digital and our affiliates a non-exclusive, worldwide, perpetual, transferable, and sub-licensable right to use, copy, modify, distribute, publish, and process any content:

  • 2.1.1 you upload to the Mace Digital Platform; or
  • 2.1.2 that you have uploaded to other websites, such as Facebook, Google My Business, and Yelp (and you hereby provide your consent to Mace Digital utilising your content from such websites for the sole purpose of providing the Services); and
  • 2.1.3 relating to your business on the Mace Digital Platform.


2.2 If you are paying for Services, you also grant Mace Digital a license to manage your Other Digital Accounts for the purposes of promoting your business and to act as an agent on your behalf in binding you to the terms and conditions of your Other Digital Accounts. Such license and agency relationship will continue after termination of this Agreement until you have assumed ownership of such accounts or they have been deleted by Mace Digital pursuant to clause 9.6. You confirm that you will comply with the terms of use of all Other Digital Accounts that we set up on your behalf and manage for you as part of the Services. You acknowledge that, where we manage your Other Digital Accounts, the content published on such platforms is managed by third parties and may be outside of the control of Mace Digital.

2.3 If you are paying for Services, Mace Digital may license you a Company Website and/or a Domain Name. Mace Digital is the registrant of the Domain Name.

2.4 If you are paying for Services and you have signed up for listings management as part of the Services (as stated in your Order Summary), you confirm that your listings information (i) does not contain any viruses, spyware, or other harmful code or materials, (ii) constitutes a “primary” source of the information, i.e., that you have officially approved it as the authorised representative of the location, and (iii) is current and accurate.

3. Warranties

3.1 You make the following warranties to Mace Digital:

3.1.1 You are at least 18 years of age and have the right to enter into this Agreement.

3.1.2 You will not attempt to circumvent security, reverse engineer, or interfere with the proper working of the Mace Digital Platform or other digital accounts.

3.1.3 You will keep any password to access the Mace Digital Platform secure and be responsible for any unauthorised access resulting from a third party obtaining your password.

3.1.4 Any content you upload to Mace Digital and your use of any domain name shall not be defamatory, indecent, or illegal, nor shall it breach the intellectual property rights of any third party. The content shall also be accurate, up-to-date, and in accordance with all applicable legal obligations.

3.1.5 Other than in relation to any services you have purchased, you will not use the Mace Digital Platform for commercial purposes.

3.1.6 You will not abuse the booking system of service providers available on the Mace Digital Platform.

3.1.7 You will ensure that all user data made available to you from your company website is stored and managed in accordance with all applicable data protection laws and our Privacy Policy.

3.1.8 You will not sell or licence, or attempt to sell or licence, access to the Mace Digital Platform or services without our written consent.

3.1.9 You have the legal right to set up an account for the business that you are representing.

4. Indemnity from Customer

4.1 You shall defend, indemnify, and hold harmless Mace Digital against any claims, actions, proceedings, losses, damages, expenses, and costs (including, without limitation, court costs and reasonable legal fees) arising out of or in connection with your use of the Mace Digital Platform, any services provided, including, without limitation, any domain name, or your breach of the warranties set out in clause 3 of this Agreement.

5. Disclaimer

5.1 EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, NEITHER MACE DIGITAL NOR ITS AFFILIATES OR SUPPLIERS MAKE ANY WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, REGARDING THE MACE DIGITAL PLATFORM. THIS INCLUDES, BUT IS NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MACE DIGITAL CANNOT BE HELD RESPONSIBLE FOR THE QUALITY OF LEADS YOU RECEIVE THROUGH OUR PAID SERVICES OR FOR THE CONVERSION RATE OF THESE LEADS INTO PAYING CUSTOMERS. REFUNDS WILL NOT BE PROVIDED IF THE NUMBER OR QUALITY OF LEADS DOES NOT MEET YOUR EXPECTATIONS.

5.2 Platform Operability
Mace Digital cannot guarantee the continuous, uninterrupted, or error-free operation of the Mace Digital Platform or that it will be free from computer viruses or similar threats. There may be times when some or all features of the Mace Digital Platform become unavailable (whether on a scheduled or unscheduled basis) or are modified, suspended, or withdrawn by Mace Digital at its sole discretion, without notice. Mace Digital will not be liable to you or any third party for any unavailability, modification, or suspension of any elements of the Mace Digital Platform, or for any loss or damage resulting from computer viruses or similar threats.

5.3 Content Accuracy
Mace Digital takes all appropriate measures to ensure that the content on the Mace Digital Platform is accurate, complete, legal, and not misleading or offensive. However, we do not review content provided by users and are not responsible for such content. If you come across any content that breaches these principles, please notify us by writing to us at admin@macedigital.co.uk. We reserve the right to remove or edit any content at any time without notice.

5.4 Third-Party Sites
You are responsible for deciding if you want to access third-party sites that link from the Mace Digital Platform. Third-party sites have their own legal terms and privacy policies, and you may be giving others permission to use your information in ways we would not. Mace Digital is not responsible for third-party sites, and you should use them at your own risk.

5.5 Access to Other Digital Accounts
Mace Digital may require access to your other digital accounts on your behalf to provide certain services. You acknowledge that you have separate agreements with the service providers managing your other digital accounts, and you are solely liable under such agreements. Mace Digital does not accept any responsibility or liability for their platforms, features, terms or policies, or the accuracy of any content relating to your business that may be available on their sites.

6. Cap on Liability

6.1 Nothing in this Agreement excludes Mace Digital’s liability to you for death or personal injury caused by Mace Digital’s negligence or for fraud or fraudulent misrepresentation.

6.2 Subject to clause 6.1, Mace Digital shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any indirect or consequential losses, or for any loss of profit (including, by way of example and without limitation, loss of profit as a result of your business not appearing in search engine results), loss of revenue, contracts, data, goodwill or other similar losses, arising under or in connection with your use of the Mace Digital Platform or any services.

6.3 Subject to clause 6.1, Mace Digital’s total aggregate liability in contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise, arising in connection with the performance or contemplated performance of this Agreement shall be limited to the total amount paid by you for any services during the 12 months immediately preceding the date on which the claim arose.

7. Booking Services & Custom Messages

7.1 If you use the Mace Digital Platform to request a booking with or to send a message to a Service Provider, your contact details will be passed to the Service Provider in accordance with our Privacy Policy.

7.2 Any goods or services that you may agree to purchase from a Service Provider (including via a payment link on the Mace Digital Platform) are agreed directly between you and the Service Provider. You will make any payments to the Service Provider or its payment processor directly. Mace Digital is not responsible or liable to you for such goods or services.

7.3 You should check all details and any restrictions relating to goods and services before making a booking request or a purchase and ensure that you notify the Service Provider of any conditions that might be relevant to the provision of the services.

7.4 All services listed on the Mace Digital Platform are subject to the availability of the Service Provider. Price information listed may be inaccurate, and you should confirm this directly with the Service Provider prior to booking any services or purchasing any goods.

7.5 You should contact the Service Provider directly if you have any complaints regarding the services provided to you.

8. Data Protection

8.1 The management and use of all User Data is governed by our Privacy Policy.

8.2 Subject to clause 8.1, Mace Digital shall own all User Data and may use it for any purpose set out in our Privacy Policy, notwithstanding the termination of this Agreement for any reason. Mace Digital grants you the right to use User Data collected via your Company Website to the extent needed for you to provide your goods and services.

9. Termination

9.1 Termination Notice
Subject to clause 9.2 below, either party may terminate this Agreement by providing 1 month’s written notice to the other party.

9.2 Immediate Termination
Mace Digital reserves the right to cease providing Services to you with immediate effect if we believe, at our sole discretion, that you are in violation of our policies or if the products or services offered on your Company Website are not supported by Mace Digital. Either party may also terminate this Agreement with immediate effect if: (i) the other party is in material breach of the Agreement, or (ii) the other party ceases its business operations or becomes subject to insolvency proceedings that are not dismissed within ninety days.

9.3 Rights and Licences Upon Termination
If the Services are cancelled by either party or this Agreement is terminated, all rights and licences granted to you under this Agreement, including your licence to the Company Webpage and Domain Name, will be terminated with immediate effect.

9.4 Domain Name Transfer
Before the termination of this Agreement, you may choose to transfer the registration of the Domain Name to yourself, subject to payment of a transfer fee to Mace Digital.

9.5 Other Digital Accounts
In the event that we manage your Other Digital Accounts as part of any Services, upon termination, we may, at our discretion, either delete such accounts, transfer them to you, or leave them as is.

10. Miscallaneous

10.1 Revisions
Mace Digital may revise this Agreement from time to time. The most current version will always be posted on our website. Any material changes will be notified to you by email if you have an account with Mace Digital.

10.2 Entire Agreement
This Agreement, including the Order Summary, supersedes any prior agreements between us and constitutes the entire Agreement relating to this subject matter. In case of a conflict between this Agreement and the Order Summary, the Order Summary shall take priority.

10.3 Contact

10.4 Liability
Mace Digital will not be liable for inadequate performance to the extent caused by conditions beyond its reasonable control (such as natural disasters, acts of war or terrorism, riots, labour conditions, governmental actions, and Internet disturbances).

10.5 Confidentiality
The terms and conditions of this Agreement, including the price of any Services, will be considered confidential information of Mace Digital, and you will not disclose this information to any third parties.

10.6 Assignment
You may not assign or transfer this Agreement or any rights or obligations under this Agreement without Mace Digital’s written consent. Mace Digital may assign this Agreement or any rights or obligations under this Agreement to an affiliate or in connection with a merger, acquisition, corporate reorganisation, or sale.

10.7 Notices
Notices can be sent by email, post, or hand delivery and are deemed given when received. Mace Digital’s address for notices is:

10.8 Severability
Unenforceable provisions will be modified to reflect the parties’ intention and only to the extent necessary to make them enforceable, with the remaining provisions of the Agreement remaining in full effect.

10.9 Waiver
If Mace Digital fails to enforce, or delays in enforcing, any of our rights under these terms, it does not result in a waiver of the rights concerned.

10.10 Third-Party Rights
No terms are enforceable under the Contracts (Rights of Third Parties) Act 1999 by a person who is not a party to this Agreement.

10.11 Governing Law
This Agreement is governed by English law and subject to the exclusive jurisdiction of the courts of England and Wales.

11. Refund Policy

11.1 Refund Request
As a new customer, you may request a refund within 30 calendar days of the Date of Purchase for any reason. The Date of Purchase is defined as the date you have paid the Setup Fee, which is the one-time fee paid by new customers for Mace Digital to build a website. The Refund Period is defined as the 30-day period from the Date of Purchase.

11.2 Completion of Questionnaire
To enable Mace Digital to create your business website, you must complete a questionnaire about your business. If you have not completed the questionnaire, you will not receive a business website. You may request a refund at any time within the Refund Period, regardless of whether you have completed the questionnaire and/or received the business website.

11.3 Refund Eligibility
Subject to clause 4 of this Refund Policy, you are ineligible for a refund after the Refund Period, irrespective of whether you have completed the questionnaire and/or received the business website. Failure to complete the questionnaire required for Mace Digital to build the business website does not automatically extend the Refund Period. Outside the Refund Period, all sales are final and non-refundable.

11.4 Delay in Delivery
If Mace Digital has not delivered the website within 7 days of your completing the questionnaire, then the Refund Period will be extended according to the number of days Mace Digital was delayed. For example, if Mace Digital delivered your business website 8 days after you completed the questionnaire, your Refund Period would be extended by 1 day.

11.5 Refund Amount
Subject to clause 1, if you have purchased services from Mace Digital, the refund shall include the full amount paid, less the cost of any custom domain name if one has been selected. If no custom domain name has been selected, then the recurring plan subscription shall be refunded in full.
